Terms of service

These Terms of Service ("Terms") govern your access to and use of our websites, apps, and related services (collectively, the "Services") provided by Radhoc LLC ("we," "our," or "us").
Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to download, install, and use the Services for your own non-commercial purposes, except as otherwise permitted under these Terms. If you do not agree to these Terms, please do not use the Services.
1. Eligibility
You must be at least 18 years old and able to form a binding agreement to create an account or use the Services. By creating an account or using the Services, you represent that you meet these requirements.
The Services are currently available only in the United States.
If you use Radhoc to coordinate an activity involving a person under 18, you are responsible for their supervision and for deciding whether the meetup, place, participants, route, and timing are appropriate and safe.
2. Accounts and information
To access certain features, you may be required to provide information such as your name and a verified email address. You may also choose to provide information through the Services.
You agree to provide accurate and current information. You are responsible for maintaining access to your verified email address and for activity that occurs through your account.
3. Meetups, invites, and trusted use
Radhoc helps people coordinate private meetups with others they choose to include. Meetups are not publicly discoverable. Invite links may show limited preview information, but accessing full meetup details requires signing in and claiming the invite.
You are responsible for using invite features appropriately and for respecting the privacy, consent, and boundaries of the people you invite.
4. Account communications
Radhoc may send transactional email to help you sign in, protect your account, and provide account or service information. These messages are used for authentication and account access, not marketing or promotional campaigns.
We send marketing email only when you opt in. You may withdraw that consent at any time through an available unsubscribe method or by contacting support.
5. Places, location, and real-world safety
Radhoc may help users choose places, view place information, and open maps. Places, maps, directions, estimated times, and location information may be incomplete, delayed, inaccurate, unavailable, or based on third-party data.
Radhoc does not verify places, supervise meetups, screen participants, provide childcare, provide transportation, or guarantee that anyone will attend. You are responsible for your own judgment, supervision, travel, communication, and safety decisions.
Radhoc is not an emergency service. If you believe someone is in danger, contact local emergency services.
6. Payments
Radhoc does not currently charge users for the Services or offer paid features.
If we introduce paid features or products, we will update these Terms or provide additional terms before those purchases are available.
7. Use of data and analytics
We collect and use data to operate, secure, improve, and support the Services, as described in our privacy policy.
8. Acceptable use
You agree not to:
- Use the Services for any illegal, harmful, or abusive purpose.
- Harass, threaten, impersonate, stalk, or unwantedly contact another person.
- Share private information about children, families, contacts, meetups, places, invitations, or location without appropriate permission.
- Attempt to gain unauthorized access to any part of the Services, accounts, data, systems, or provider integrations.
- Interfere with the proper functioning, reliability, security, or availability of the Services.
- Scrape, crawl, spam, reverse engineer, modify, or misuse the software except where applicable law expressly permits it.
- Use Radhoc to send unsolicited messages, mass invites, commercial promotions, or public event broadcasts.
9. User content
Names, meetup details, places, invitations, support communications, and other information you provide are user content. You are responsible for your user content and for having the rights and permissions needed to share it through the Services.
You grant Radhoc a limited license to host, store, process, transmit, display, and use your user content as needed to operate, secure, support, and improve the Services. This license ends when the content is deleted from our systems, except where retention is needed for shared meetup history, safety, security, legal compliance, backups, or other legitimate operational purposes.
10. Service providers and third-party services
Radhoc uses service providers to host, secure, analyze, support, and deliver the Services. Our privacy policy describes the providers that process personal data and the purposes for which we use them.
Third-party services may have their own terms and policies. We are not responsible for third-party services that we do not control, and we do not guarantee that third-party services will be available, accurate, or error-free.
11. Intellectual property
All content, trademarks, logos, software, designs, and other materials related to the Services are owned by or licensed to Radhoc LLC. You may not use, reproduce, modify, distribute, or create derivative works from our materials without our written permission, except as allowed by these Terms or applicable law.
12. App license
When you download or use a Radhoc app, we grant you a limited, revocable, non-exclusive, non-transferable license to install and use the app on devices you own or control, solely to use the Services in accordance with these Terms and any applicable app-store terms.
13. Termination
We may suspend or terminate your access to the Services at any time if we believe you violated these Terms, created risk for other users or the Services, or engaged in harmful behavior. You may stop using the Services at any time. For account deletion or termination questions, contact support@radhoc.app.
14. Disclaimers
The Services are provided "as is" and "as available." We make no guarantees that the Services will be uninterrupted, secure, accurate, error-free, or available at any specific time. Use is at your own risk.
To the fullest extent allowed by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
15. Limitation of liability
To the extent permitted by law, Radhoc LLC shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages resulting from your use of or inability to use the Services, including damages related to meetups, communications, places, maps, location, notifications, provider outages, or third-party services.
To the extent permitted by law, our total liability shall not exceed the greater of the total amount you paid to Radhoc for the Services in the 12 months before the claim or 100 U.S. dollars.
16. Assumption of risk
You acknowledge that using Radhoc may involve real-world meetups, travel, public spaces, private spaces, weather, transportation, playgrounds, parks, indoor venues, interactions with other people, and supervision of children or minors. These activities carry inherent risks, including but not limited to:
- Injury, illness, accident, delay, or property damage.
- Unsafe, closed, crowded, inaccessible, or unsuitable places.
- Miscommunication, no-shows, late arrivals, or unexpected changes to a meetup.
- Inaccurate, stale, unavailable, or misunderstood place, map, or location information.
- Interactions with people you invite or choose to meet.
You voluntarily assume all risks related to your use of Radhoc and any real-world activity you choose to undertake.
17. Indemnification
You agree to indemnify and hold harmless Radhoc LLC from any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from your use of the Services, your user content, your violation of these Terms, your violation of another person's rights, or activity conducted by a child or minor in your care.
18. Governing law
These Terms and any dispute arising from or relating to them shall be governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles.
19. Dispute resolution
To the extent permitted by law, disputes arising from the Services or these Terms must be brought in the state or federal courts located in Allegheny County, Pennsylvania. You and Radhoc consent to the jurisdiction and venue of those courts. Either party may bring an eligible claim in small claims court.
20. Changes to these terms
We may update these Terms at any time. Changes are effective when we post the updated Terms with an updated effective date, unless the updated Terms state otherwise. Your continued use of the Services after the updated effective date constitutes acceptance.
21. Miscellaneous
These Terms constitute the entire agreement between you and Radhoc LLC regarding the Services and supersede all prior agreements about the Services. If any provision is held unenforceable, the remaining provisions will remain in full force. Radhoc LLC may assign these Terms without notice; you may not assign them without our written permission. Any failure to enforce a provision is not a waiver. Provisions that by their nature should survive termination will survive termination of the Services or your account.
22. Third-party platform terms (Apple App Store)
If you obtain the Services through the Apple App Store, the following additional terms apply.
You and Radhoc LLC acknowledge that these Terms are concluded solely between you and Radhoc, not with Apple Inc. ("Apple"), and that Apple is not responsible for the Services or their content.
Your license to use the Services is limited to Apple-branded devices that you own or control and is subject to Apple's applicable media services, App Store, and standard or custom end-user license terms.
Apple has no obligation to furnish any maintenance or support services with respect to the Services. Radhoc is solely responsible for providing any maintenance and support.
In the event of any failure of the Services to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, paid for the Services. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Services.
Radhoc, not Apple, is responsible for addressing any claims by you or any third party relating to the Services or your possession and use of the Services, including product liability claims, claims that the Services fail to conform to applicable legal or regulatory requirements, and claims arising under consumer protection or similar legislation.
In the event of any third-party claim that the Services or your possession and use of the Services infringe that third party's intellectual-property rights, Radhoc, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as terrorist-supporting, and that you are not on any U.S. Government list of prohibited or restricted parties.
Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right to enforce these Terms against you as a third-party beneficiary.
23. Third-party platform terms (Google Play)
If you obtain the Services through Google Play, your use of Google Play is subject to Google Play's applicable terms. These Terms are between you and Radhoc LLC, not Google. Radhoc is responsible for the Services and their content, maintenance, and support, except to the extent Google is responsible under applicable Google Play terms or applicable law.
